The meeting of the Steering Committee established to gather information regarding the establishment of the Northridge Estates Neighborhood Association met at 6:00 PM at Lawrence King’s home in Midway, Kentucky. Those present are listed below:

Lawrence updated us on the current work being done by Ball Homes, thanks to the list of issues that Lawrence gave to Lee Fields:

A. Cleaned portion of the tree line

B. Cleaned the sewer

C. Repairing sidewalks

D. Sewer culverts belong to the city, but are reinforced with steel.

Keep an eye on work being done. If additional items need to be addressed, we will write a letter to Ball Homes.

Discussed Articles of Incorporation

a. Lawrence moved that we have three people who volunteer to sign the Articles of Incorporation, and send them in now to move things forward.

b. Lawrence, Bud, and Kathy volunteered for now. At the meeting an additional four people can be nominated from the floor.

Submit Articles of Incorporation.

Resumed review and discussion of the Bylaws:

1 Article III, Section 3: agreed that we shall not put an upper limit on the Board of Directors, but will look into adding a clause that specifies there should always be an odd number.

2 Article III, Section 12: agreed that a quorum would be constituted of a majority of the homeowners, with use of distribution and use of proxies to ensure participation.

3 Article III, Section 17 (h): Suggestion was made to add a clause that would provide the Homeowners’ Association the ability to sell or purchase common areas.

4 Article III, Section 18 (g): We should determine the amount required to conduct an audit; $10,000 and $25,000 were suggested as possible amounts; agreed to find what other communities are doing, determine our needs, and calculate a reasonable limit.
